GENERAL WHOLESALE POLICY & TERMS OF SALE

Welcome to Java Planet Organic Coffee Roasters! We are proud to partner with businesses that share our commitment to fresh, high-quality, certified organic coffee. By placing a wholesale order with Java Planet, you agree to adhere to the following terms, ordering standards, and operational policies.

1. ORDERING, PAYMENT & ORDER MINIMUMS

• Wholesale Minimum Orders: The minimum wholesale order is $100, unless otherwise approved by Java Planet.

• Upfront Payment: Payment is required in full prior to production and shipping, unless otherwise agreed upon. Java Planet does not offer consignment, drop shipping, or sale-on-return terms.

• Freight & Shipping Costs: Shipping costs are charged on all wholesale shipments at the time of order.

2. ROASTING & PRODUCTION SCHEDULE Small-Batch Freshness: All coffee is freshly roasted in small batches and typically ship in 1 to 3 business days.

• Price Adjustments: Wholesale pricing is subject to change. Java Planet will provide written notice by email prior to any wholesale price adjustments.

3. INSPECTION & 14-DAY DAMAGE/SHORTAGE CLAIM WINDOW

• Inspection Window: Please inspect all shipments immediately upon delivery. Claims for damaged items, missing bags, defects, or carrier transit issues must be submitted in writing to Java Planet within fourteen (14) calendar days of delivery.

• Required Photo Proof: Claims for shipping damage or broken seals must include clear digital photographs of the damaged product and outer shipping box so we can process claims with UPS. Verified claims within the 14-day window will be resolved via account credit or replacement stock. Unverified claims or reports past 14 days cannot be honored.

4. PRODUCT SHELF LIFE, STORAGE & UNCOLLECTED STOCK

• One-Year Expiration: Java Planet retail coffee bags feature a strict one (1) year expiration date from the date of roasting. Partners must practice First-In, First-Out (FIFO) inventory control and must not sell products past their expiration date.

• Perishable Food Standard: All wholesale purchases are final. Due to food safety standards, Java Planet does not accept returns, issue refunds, or provide inventory credits for unsold, overstocked, or expired products.

5. GENERAL RESALE & REPACKAGING RULES

• Standard Sealed Packaging: Retail-packaged coffee must be sold in its original, sealed Java Planet packaging without modification or bean blending.

• Bulk Repackaging & Organic Compliance: If purchasing bulk coffee for custom repackaging, partners must comply with USDA National Organic Program (NOP) regulations and Americert standards. Non-certified organic handlers CANNOT display the USDA Organic Seal or Americert logo on custom packaging and may only list "Organic Arabica Coffee Beans" in the ingredient statement.

6. ONLINE RESALE & MARKETPLACE RESTRICTIONS

• Online Sales Contract Required: Any wholesale account intending to sell Java Planet products online through their own e-commerce website must sign Java Planet's separate Online Reseller Agreement and comply with our Minimum Advertised Price (MAP) policy (Retail Price minus 10%).

• Unauthorized Third-Party Marketplaces: Reselling on third-party marketplaces (Amazon, eBay, Walmart Marketplace, Etsy, TikTok Shop, etc.) is strictly prohibited without prior written approval.
